1. Introduction
Welcome to TEKBIS LLC ("TEKBIS," "Company," "we," "our," or "us").
These Terms of Service ("Terms") govern your access to and use of our website, products, services, software, digital solutions, and any communications between you and TEKBIS LLC.
By accessing our website, requesting a quotation, purchasing our services, making a payment, signing a proposal, or otherwise engaging TEKBIS LLC, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service, our Privacy Policy, Cookie Policy, and Refund Policy.
If you do not agree with these Terms, you must not use our website or purchase our services.
2. Company Information
TEKBIS LLC is a limited liability company organized under the laws of the State of New Mexico, United States.
Throughout these Terms, "Client," "Customer," "you," and "your" refer to any individual or business purchasing or requesting services from TEKBIS LLC.
3. Services We Provide
TEKBIS LLC provides professional digital services including, but not limited to:
- Website Design & Development
- Mobile Application Development
- UI/UX Design
- Logo Design & Brand Identity
- Business Card & Print Design
- Graphic Design
- Search Engine Optimization (SEO)
- Social Media Marketing
- Digital Marketing
- E-book Formatting & Publishing Assistance
- Software Consulting
- Website Maintenance
- Hosting & Domain Assistance
- QR Code Solutions
- Other technology and creative services agreed upon in writing.
Services may change over time without prior notice.
4. Eligibility
By using our services, you represent that:
- You are at least 18 years of age or otherwise legally capable of entering into binding contracts.
- You have authority to act on behalf of yourself or your organization.
- Information you provide is accurate and complete.
- Your project and requested services comply with applicable laws.
5. Acceptance of Projects
Submission of an inquiry does not automatically create a contract.
A project is considered accepted only after one or more of the following occurs:
- TEKBIS LLC confirms acceptance in writing;
- an invoice is issued and paid;
- a proposal or quotation is accepted;
- work begins with mutual agreement.
TEKBIS LLC reserves the right to decline any project at its sole discretion.
Without limitation, we may refuse projects involving:
- unlawful activities;
- fraud or suspected fraud;
- deceptive or misleading practices;
- hate speech;
- intellectual property infringement;
- malware or cybercrime;
- adult content where prohibited;
- content promoting violence or illegal conduct;
- projects outside our expertise;
- projects that create unacceptable legal, financial, reputational, or operational risk.
Declining a project does not create any obligation to provide services.
6. Quotations and Proposals
All quotations are estimates unless expressly stated otherwise.
Unless specified, quotations remain valid for thirty (30) calendar days.
Any change requested after acceptance may require:
- revised pricing;
- revised timelines;
- additional documentation.
Verbal discussions do not modify an accepted quotation unless confirmed in writing.
7. Payments
Unless otherwise agreed in writing:
- payment is required before work begins;
- invoices are payable in U.S. Dollars;
- accepted payment methods may vary.
For larger projects, TEKBIS LLC may, at its sole discretion, approve milestone payments. Typical milestone structures may include staged payments such as an initial deposit followed by additional installments. Approval of milestone payments is entirely discretionary and does not establish a precedent for future projects.
Failure to make scheduled payments may result in suspension of work until payment is received.
8. Taxes
Clients are responsible for any taxes, duties, governmental charges, or similar obligations imposed by their local jurisdiction unless applicable law requires otherwise.
9. Scope of Work
Each project is governed by the agreed scope described in:
- proposal;
- quotation;
- invoice;
- written email confirmation;
- signed agreement;
- approved project brief.
Items not specifically included within the agreed scope constitute additional work.
Additional work may require:
- separate quotations;
- revised delivery schedules;
- additional fees.
10. Client Responsibilities
To enable successful delivery, the Client agrees to:
- provide accurate project information;
- provide logos, branding, text, images, credentials, and other required materials;
- obtain all necessary rights and permissions for supplied content;
- review submitted work within a reasonable period;
- provide clear feedback;
- cooperate throughout the project.
The Client warrants that all materials supplied to TEKBIS LLC may legally be used for the requested project.
TEKBIS LLC is not responsible for infringement arising from Client-provided materials.
11. Project Communication
Communication may occur through:
- email;
- telephone;
- video meetings;
- messaging platforms;
- project management systems;
- any mutually agreed communication channel.
The Client agrees to provide timely responses.
Delays in communication may extend project timelines.
12. Delivery Timelines
Estimated delivery dates are provided in good faith.
Delivery schedules depend upon factors including:
- timely receipt of required information;
- Client approvals;
- requested revisions;
- third-party service availability;
- technical complexity;
- unforeseen circumstances.
Unless expressly guaranteed in writing, delivery dates are estimates only.
TEKBIS LLC will use commercially reasonable efforts to complete projects within the estimated timeframe.
13. Revisions
Unless otherwise agreed in writing, projects include up to two (2) rounds of revisions.
A revision means reasonable modifications to previously delivered work within the original project scope.
Requests that substantially alter:
- objectives;
- functionality;
- design direction;
- branding;
- features;
- content;
- project scope
may be treated as change requests rather than revisions.
Additional revisions beyond those included may incur additional charges.
14. Change Requests
Any request outside the original scope may require:
- revised pricing;
- revised timeline;
- updated quotation;
- additional approval.
TEKBIS LLC may begin additional work only after receiving confirmation from the Client.
15. Refund Policy
Refunds are governed exclusively by the TEKBIS LLC Refund Policy.
The Refund Policy forms part of these Terms of Service and is incorporated herein by reference.
Clients are encouraged to review the Refund Policy before purchasing any service.
16. Website Design & Development Services
TEKBIS LLC provides custom website design and development services tailored to each client's requirements.
Unless otherwise agreed in writing, website projects may include planning, design, development, testing, deployment, and post-launch support as specified in the approved proposal or quotation.
Unless expressly stated in the proposal, the following are not included:
- Website content writing
- Photography or stock media licenses
- Third-party software licenses
- Premium plugins
- Paid fonts
- Custom illustrations
- Ongoing maintenance
- Website hosting
- Domain registration
- Search engine advertising
- Email hosting
Any additional functionality requested after project approval may constitute a Change Request and may require additional fees and revised delivery timelines.
17. Website Content
Clients are responsible for providing all website content unless TEKBIS LLC has expressly agreed to create such content.
Content includes, but is not limited to:
- Text
- Images
- Videos
- Product information
- Company information
- Legal policies
- Pricing
- Testimonials
- Logos
- Brand assets
TEKBIS LLC is not responsible for verifying the accuracy, legality, completeness, or ownership of Client-provided content.
18. Website Testing & Approval
Prior to final delivery, Clients will have an opportunity to review the completed website.
The Client agrees to inspect the website and notify TEKBIS LLC of any issues within a reasonable period.
Approval may be provided through:
- Written message
- Project management platform
- Final payment
- Public launch authorization
Following Client approval, the project shall be considered substantially complete.
Subsequent changes may be treated as additional work.
19. Website Hosting & Domains
Unless expressly included within a purchased package, website hosting and domain registration are separate services.
Where TEKBIS LLC assists with domain registration or hosting, such services may be provided through independent third-party providers.
TEKBIS LLC is not responsible for:
- Third-party outages
- Domain disputes
- DNS propagation delays
- Hosting provider downtime
- Third-party pricing changes
- Third-party service interruptions
Clients remain responsible for complying with the policies of all third-party providers.
20. Website Maintenance
Unless covered by a maintenance agreement, completion of a website project concludes TEKBIS LLC's development obligations.
Future requests including updates, enhancements, maintenance, troubleshooting, content modifications, feature additions, compatibility improvements, or redesigns may be quoted separately.
21. Mobile Application Development
TEKBIS LLC develops custom mobile applications based upon mutually agreed project specifications.
Application development may include:
- User interface design
- User experience design
- Front-end development
- Back-end development
- API integration
- Database integration
- Testing
- Deployment assistance
App store approval decisions remain solely within the discretion of Apple, Google, or other marketplace operators.
TEKBIS LLC cannot guarantee acceptance, continued availability, rankings, downloads, or commercial success within any app marketplace.
22. Logo Design & Branding Services
Logo design services include the creation of original branding concepts developed specifically for the Client.
Unless otherwise agreed in writing:
- Two (2) rounds of revisions are included.
- Additional revisions may incur additional charges.
- Design concepts not selected remain the intellectual property of TEKBIS LLC unless ownership has been transferred under these Terms.
Minor revisions include reasonable adjustments such as:
- Color refinements
- Typography adjustments
- Layout refinements
- Spacing
- Visual balancing
Requests that substantially change the original creative direction may constitute a new project or Change Request.
23. Graphic Design Services
Graphic design services may include:
- Business cards
- Flyers
- Brochures
- Catalogs
- Social media graphics
- Presentation design
- Marketing materials
- Print-ready artwork
- Digital assets
Unless otherwise agreed, two (2) rounds of revisions are included.
Clients are responsible for proofreading all content before approving final artwork.
TEKBIS LLC is not responsible for errors approved by the Client prior to final production.
24. Editable Source Files
Unless otherwise stated in the applicable proposal or quotation, editable Adobe Illustrator (AI) source files created as part of logo design services are included.
Other editable production files (including but not limited to PSD, INDD, Figma, After Effects, Premiere Pro, or other working files) are not included unless specifically agreed in writing or purchased as part of the applicable service.
TEKBIS LLC may retain working files for internal business purposes.
25. Search Engine Optimization (SEO)
SEO services are performed using commercially reasonable practices intended to improve website visibility.
However, TEKBIS LLC does not guarantee:
- Specific rankings
- First-page placement
- Traffic levels
- Sales
- Leads
- Revenue
- Search engine indexing
- Search engine algorithm behavior
Search engines operate independently and regularly modify ranking methodologies beyond TEKBIS LLC's control.
26. Digital Marketing & Social Media Services
Marketing services may include:
- Campaign management
- Social media management
- Content planning
- Graphic creation
- Advertising assistance
- Strategy consultation
Unless expressly agreed otherwise:
- Advertising budgets are separate from management fees.
- Third-party advertising charges remain the Client's responsibility.
- Marketing performance cannot be guaranteed.
Business results depend upon numerous external factors beyond TEKBIS LLC's control.
27. E-book Publishing Services
TEKBIS LLC may provide services relating to:
- Interior formatting
- Cover design
- Publishing assistance
- Platform submission assistance
- File preparation
Unless expressly stated otherwise, TEKBIS LLC is not the publisher of record.
Publishing platforms maintain their own review procedures, policies, technical requirements, and approval processes.
TEKBIS LLC cannot guarantee acceptance, publication timing, sales performance, royalties, rankings, or continued availability on any publishing platform.
28. Third-Party Services
Certain services may involve third-party providers including hosting companies, payment processors, domain registrars, software vendors, cloud providers, social media platforms, search engines, app stores, or publishing platforms.
TEKBIS LLC does not control these independent organizations.
Accordingly, TEKBIS LLC is not liable for:
- Service interruptions
- Pricing changes
- Account suspensions
- Platform policy changes
- Platform removals
- Third-party security incidents
- Third-party contractual disputes
Clients remain subject to the applicable terms and policies of such providers.
29. Client Delays
Project schedules depend upon timely cooperation.
Where Clients fail to provide required information, approvals, or materials within a reasonable period, project timelines may be extended accordingly.
TEKBIS LLC reserves the right to reschedule inactive projects based upon current production availability.
30. Project Abandonment
If a Client becomes unresponsive for an extended period after work has commenced, TEKBIS LLC may place the project on hold.
Projects remaining inactive for an unreasonable period may require:
- Updated scheduling
- Additional project management fees
- Revised quotations
- Restart fees where significant redevelopment is required
TEKBIS LLC will make commercially reasonable efforts to communicate with the Client before taking such action.
31. Intellectual Property Ownership
Unless otherwise agreed in writing, all concepts, drafts, mockups, prototypes, source code, artwork, documentation, designs, graphics, text, software, and other work created by TEKBIS LLC remain the intellectual property of TEKBIS LLC until all outstanding invoices relating to the project have been paid in full.
Upon receipt of full payment, ownership of the final approved deliverables shall transfer to the Client to the extent expressly stated in the applicable proposal, quotation, invoice, or written agreement.
TEKBIS LLC retains ownership of:
- Internal tools
- Development methodologies
- Proprietary processes
- Frameworks
- Libraries
- Templates
- Utilities
- Know-how
- General techniques
- Reusable code not specifically developed as a unique deliverable for the Client.
32. License Prior to Final Payment
Until full payment has been received, TEKBIS LLC grants the Client only a limited, revocable, non-exclusive, non-transferable license to review project deliverables solely for evaluation purposes.
Clients shall not commercially use, reproduce, publish, distribute, modify, or exploit unfinished or unpaid work.
33. Portfolio Rights
Unless the Client has requested confidentiality in writing before project commencement, TEKBIS LLC may display completed work within its:
- Portfolio
- Website
- Social media
- Marketing materials
- Sales presentations
- Awards submissions
- Promotional content
Such display shall be solely for demonstrating professional capabilities.
Confidential information will not be intentionally disclosed.
34. Third-Party Intellectual Property
Clients warrant that all content supplied to TEKBIS LLC—including text, photographs, logos, trademarks, artwork, software, videos, music, fonts, and other materials—is either owned by the Client or properly licensed.
The Client assumes full responsibility for obtaining all necessary permissions.
TEKBIS LLC is not responsible for verifying ownership of Client-supplied materials.
35. Confidential Information
During the course of a project, either party may disclose confidential or proprietary information.
Each party agrees to use commercially reasonable efforts to safeguard confidential information and not disclose such information except:
- with consent;
- where required by law;
- to professional advisers bound by confidentiality obligations;
- where reasonably necessary to perform contracted services.
This obligation survives completion or termination of the project.
36. Data Security
TEKBIS LLC employs commercially reasonable administrative, technical, and organizational measures intended to protect Client information.
However, no electronic communication, website, software system, cloud platform, or data transmission can be guaranteed to be completely secure.
Accordingly, TEKBIS LLC cannot guarantee absolute security against unauthorized access, cyberattacks, system failures, or other security incidents beyond its reasonable control.
37. Open Source & Third-Party Software
Projects may include open-source software or licensed third-party components where appropriate.
Such software remains subject to the applicable licenses issued by their respective owners.
Nothing within these Terms transfers ownership of third-party software to the Client.
38. No Guarantee of Business Results
TEKBIS LLC provides professional services using commercially reasonable skill and care.
However, TEKBIS LLC does not guarantee:
- Increased revenue
- Increased profits
- Increased website traffic
- Sales volume
- Customer acquisition
- Search engine rankings
- Advertising performance
- Social media engagement
- Investment returns
- Business growth
- Commercial success
Business performance depends upon numerous external factors beyond TEKBIS LLC's control.
39. Disclaimer of Warranties
Except where expressly required by applicable law, all services, deliverables, software, websites, applications, designs, and other work are provided on an "AS IS" and "AS AVAILABLE" basis.
TEKBIS LLC expressly disclaims, to the maximum extent permitted by law, all warranties, whether express, implied, statutory, or otherwise, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Compatibility
- Availability
- Security
- Continuous operation
- Error-free performance
No oral or written information provided by TEKBIS LLC shall create any warranty unless expressly stated in a written agreement signed by an authorized representative of TEKBIS LLC.
40. Limitation of Liability
To the fullest extent permitted by applicable law, TEKBIS LLC shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to:
- Use of our services
- Delay in delivery
- Website downtime
- Loss of business
- Loss of profits
- Loss of revenue
- Loss of data
- Loss of goodwill
- Cybersecurity incidents
- Third-party service failures
Where liability cannot legally be excluded, TEKBIS LLC's aggregate liability shall not exceed the total amount actually paid by the Client for the specific service giving rise to the claim.
Some jurisdictions do not permit certain limitations of liability. In such jurisdictions, these limitations shall apply only to the extent permitted by law.
41. Client Indemnification
The Client agrees to defend, indemnify, and hold harmless TEKBIS LLC and its owners, employees, contractors, affiliates, and representatives from and against any claims, liabilities, damages, judgments, settlements, penalties, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:
- Client-provided content;
- infringement of intellectual property rights by Client-supplied materials;
- unlawful use of deliverables;
- breach of these Terms;
- negligent or intentional misconduct by the Client;
- violation of applicable law by the Client.
42. Force Majeure
TEKBIS LLC shall not be liable for any delay or failure to perform caused by circumstances beyond its reasonable control, including but not limited to:
- Natural disasters
- Fire
- Flood
- Earthquake
- War
- Terrorism
- Government action
- Internet outages
- Utility failures
- Labor disputes
- Cyberattacks
- Pandemic-related disruptions
- Failure of third-party service providers
Project schedules shall be reasonably extended for the duration of such events.
43. Compliance With Applicable Laws
Clients agree to use all deliverables in compliance with applicable local, state, federal, and international laws.
TEKBIS LLC may suspend or terminate services if it reasonably believes continued performance would violate applicable law or expose the Company to legal or regulatory risk.
44. No Legal, Financial or Tax Advice
Unless expressly agreed in writing, TEKBIS LLC does not provide legal, accounting, investment, tax, or regulatory advice.
Clients should seek qualified professional advisers regarding such matters.
45. Entire Agreement
These Terms of Service, together with our Privacy Policy, Refund Policy, Cookie Policy, any accepted quotation, proposal, invoice, project specification, statement of work, or other written agreement expressly incorporated by reference, constitute the entire agreement between the Client and TEKBIS LLC regarding the services provided.
These documents supersede all prior or contemporaneous discussions, negotiations, communications, representations, understandings, proposals, or agreements, whether oral or written, relating to the same subject matter.
No waiver, modification, amendment, or addition to these Terms of Service shall be valid unless made in writing and authorized by TEKBIS LLC or otherwise required by applicable law.
If any conflict exists between these Terms of Service and a separately executed written agreement signed by both the Client and TEKBIS LLC for a specific project, the terms of that separately executed written agreement shall govern only to the extent of the specific conflict, while the remaining provisions of these Terms of Service shall continue in full force and effect.
46. Suspension of Services
TEKBIS LLC reserves the right to suspend or pause any project, account, or service if:
- Required payments are not received.
- The Client materially breaches these Terms.
- The Client requests unlawful, fraudulent, deceptive, or unethical work.
- The Client provides false or misleading information.
- Continued work would expose TEKBIS LLC to legal, regulatory, security, reputational, or financial risk.
- The Client abuses, threatens, harasses, or behaves unprofessionally toward TEKBIS LLC personnel.
Where reasonably practicable, TEKBIS LLC will notify the Client before suspending services. However, immediate suspension may occur where necessary to protect TEKBIS LLC, its personnel, clients, systems, or legal interests.
47. Termination
Either party may terminate a project before completion by providing written notice.
Termination shall not affect:
- amounts already due;
- payment obligations for work completed;
- rights accrued before termination;
- provisions intended to survive termination.
If a project is terminated after work has commenced, the Client remains responsible for payment for services performed up to the effective termination date, subject to the applicable Refund Policy.
48. Survival
The following provisions shall survive termination or completion of the project where applicable:
- Intellectual Property
- Confidentiality
- Payment Obligations
- Limitation of Liability
- Disclaimer of Warranties
- Indemnification
- Governing Law
- Dispute Resolution
- Any provision intended by its nature to survive termination.
49. Electronic Communications
The Client agrees that communications exchanged electronically—including emails, invoices, quotations, approvals, electronic signatures, project management systems, and other electronic records—may constitute valid and legally binding communications to the extent permitted by applicable law.
50. Governing Law
These Terms of Service shall be governed by and interpreted in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law principles.
51. Dispute Resolution
TEKBIS LLC values resolving disagreements efficiently, professionally, and in good faith.
Accordingly, before initiating formal legal proceedings, the parties agree to make reasonable efforts to resolve disputes through direct communication.
If a dispute cannot be resolved informally, it shall be submitted to binding arbitration in the State of New Mexico, unless applicable law requires otherwise.
The arbitration shall be conducted before a mutually acceptable arbitration provider under its applicable commercial arbitration rules.
The arbitrator's decision shall be final and binding upon both parties and may be enforced by any court having appropriate jurisdiction.
Nothing in this section prevents either party from seeking temporary injunctive or equitable relief where necessary to protect confidential information, intellectual property, or other legal rights pending arbitration.
52. Compliance with Laws
Both parties agree to comply with all applicable laws, regulations, sanctions, export controls, and governmental requirements relating to the services provided under these Terms.
The Client agrees not to use TEKBIS LLC's services for unlawful purposes or in violation of any applicable law.
53. Assignment
The Client may not assign, transfer, sublicense, or otherwise transfer its rights or obligations under these Terms without the prior written consent of TEKBIS LLC.
TEKBIS LLC may assign or transfer its rights or obligations as part of a merger, acquisition, business restructuring, or sale of substantially all of its assets.
54. Severability
If any provision of these Terms is determined by a court or arbitrator of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
55. No Waiver
Failure by TEKBIS LLC to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other right under these Terms.
Any waiver must be made expressly and in writing by an authorized representative of TEKBIS LLC.
56. Independent Contractors
Nothing contained in these Terms shall be interpreted as creating a partnership, joint venture, employment relationship, agency relationship, or fiduciary relationship between TEKBIS LLC and the Client.
Each party remains an independent contractor responsible for its own operations and obligations.
57. Changes to These Terms
TEKBIS LLC reserves the right to modify or update these Terms of Service at any time.
The revised version will become effective upon publication on the TEKBIS LLC website unless otherwise stated.
Material changes will apply prospectively and will not retroactively alter rights or obligations relating to projects already completed unless required by law or expressly agreed in writing.
Continued use of the website or services after updated Terms become effective constitutes acceptance of the revised Terms.
